(New York, NY) Represent public co’s, PE funds & their
portfolio co’s in conn. w/ cross-border & dom. transact. which incl. acq.,
disp., strategic mgrs., take-private transact., JVs, spin-offs & eq.
investments. Advise clients considering or particip. in these transact.
Negotiate & prepare corresp. transact. docs. Oversee & coord. buy-side
due dilig. & sell-side outreach, incl. negot. of NDAs, in proprietary
transact. & auct. processes. Prepare & review publ. disclosure filings.
Advise clients re: internal restructuring & prepare & review corresp.
documentation. Advise clients on equity-related matters & prepare corresp.
documentation. $260,000 per year. Req’mts: JD or foreign equiv., NY Bar, 2 yrs
of exp. in position or 2 yrs. of alternate occupational exp. performing complex
cross-border merger & acquisition transactional advisory legal duties.
